1. Acceptance of Terms

Welcome to Kigu. These Terms of Service ("Terms") govern your access to and use of the Kigu platform, including our website, applications, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, "you" and "your" refer to that organization.

2. Description of Service

Kigu provides an inventory management platform designed for the luxury watch market. Our Service includes:

• Inventory tracking and management for luxury timepieces
• AI-powered analysis and data extraction from images
• Transaction and financial record management
• Multi-user organization management

3. Account Registration and Security

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring that your account information remains current and accurate

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or suspicious activity.

4. Organization Accounts

Kigu supports multi-tenant organization accounts. Organization administrators are responsible for:

• Managing user access and permissions within their organization
• Ensuring all organization members comply with these Terms
• Maintaining accurate organization information
• Managing billing and subscription details for the organization

5. AI-Powered Features

Kigu uses artificial intelligence to analyze images and other content to extract inventory information. You understand and agree that:

• AI-generated results may contain errors and should be reviewed before use
• We do not guarantee the accuracy of AI-extracted data, including pricing information, product identification, or condition assessments
• You are responsible for verifying all AI-extracted information before relying on it for business decisions
• Content you submit may be processed by third-party AI service providers subject to their respective privacy policies

6. User Content and Data

You retain ownership of all content, data, and materials you upload to the Service ("User Content"). By uploading User Content, you grant Kigu a non-exclusive, worldwide license to use, process, store, and display your content solely to provide and improve the Service.

You represent and warrant that:

• You own or have the right to use and share all User Content
• Your User Content does not infringe any third-party intellectual property rights
• Your User Content complies with all applicable laws and regulations

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or other accounts
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service for any fraudulent or deceptive purposes
• Facilitate the sale or distribution of counterfeit goods
• Scrape, harvest, or collect information from the Service without authorization

8. Payment and Billing

Certain features of the Service may require payment. By subscribing to a paid plan, you agree to:

• Pay all fees according to the pricing and billing terms in effect
• Provide accurate and complete billing information
• Authorize us to charge your payment method for recurring subscription fees

Subscription fees are non-refundable except as required by law or as expressly stated in these Terms. We may change our pricing with reasonable notice, and continued use of the Service constitutes acceptance of the new pricing.

9. Intellectual Property

The Service, including its design, features, and content (excluding User Content), is owned by Kigu and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

"Kigu" and related logos and trademarks are the property of Kigu. You may not use our trademarks without our prior written consent.

10. Third-Party Services

The Service may integrate with or link to third-party services, including AI providers and payment processors. These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, policies, or practices of any third-party services.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not guarantee the accuracy of pricing information or AI-generated content.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIGU AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Kigu and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

14. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and User Content after 30 days
• You may request an export of your data before termination takes effect

You may terminate your account at any time through the account settings. Termination does not relieve you of any obligations incurred before termination.

15. Modifications to Terms

We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be communicated through email or in-app notifications. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

17. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kigu regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights or obligations under these Terms without our consent. We may assign our rights and obligations without restriction.
